for AlgoX Algorithmic/Automated Trading Software (“Software”)

1) Acceptance of Terms
By installing, accessing, or using the Software, websites, mobile apps, APIs, or related services of AlgoX (“Company”, “we”, “us”), you agree to be bound by these Terms & Conditions (“Terms”) and our Privacy Policy. If you do not agree, do not use the Software.
2) Eligibility
- You must be legally competent and of the age of majority in your jurisdiction.
- For India: you agree to comply with all applicable laws, including but not limited to the Securities and Exchange Board of India (SEBI) rules/regulations, the SEBI (Investment Advisers) Regulations, 2013 (as amended), relevant circulars on algorithmic trading, and applicable exchanges’ by-laws.
- You are solely responsible for ensuring your broker account, API access, and KYC/AML obligations are valid and up to date.
3) Nature of the Software (No Investment Advice)
- The Software is a tool to automate order placement based on parameters set by you. It is not an investment adviser, portfolio manager, or broker.
- Any information, signals, backtests, or analytics generated are for educational and informational purposes only and do not constitute financial, legal, tax, or investment advice.
- You make all trading decisions. You acknowledge that trading in securities, derivatives, and other instruments involves substantial risk of loss.
4) Regulatory Compliance & Government Laws
You agree to comply with all applicable laws and regulations. For users in India, without limitation, these include:
- SEBI Act, 1992, and regulations, circulars and guidelines issued thereunder, including those relating to algorithmic/automated trading;
- Rules of relevant exchanges (e.g., NSE, BSE), clearing corporations, and depositories;
- Prevention of Money Laundering Act (PMLA) and KYC/AML requirements;
- Information Technology Act, 2000 (as amended) regarding electronic records, cybersecurity, and data protection;
- Any broker-specific API terms of use and rate limits.
5) Third-Party Brokers, Exchanges & APIs
- The Software may connect with third-party brokers/exchanges (e.g., Angel One, Upstox, Kotak, etc.) via their APIs. We are not affiliated with and do not control these third parties.
- All execution, margining, risk controls, price feeds, and order confirmations are provided by your broker/exchange. We do not guarantee order placement, modification, cancellation, fills, or slippage.
- You must comply with your broker’s API terms, throttling limits, data usage limits, and maintenance windows. Outages or API changes may impact the Software.
6) Market Data & Backtesting Limitations
- Backtested, simulated, or hypothetical performance has many inherent limitations and does not guarantee future results.
- Data (live, delayed, or historical) may be inaccurate, incomplete, delayed, or interrupted. Use at your own risk.
- Latency, network issues, and broker-side constraints can cause differences between expected and actual results.
7) Risk Disclosure
- Trading in equities, F&O, currencies, commodities, and other instruments carries a high risk of loss, including loss exceeding initial capital in certain cases.
- Past performance is not indicative of future results. Markets can be volatile and illiquid.
- Automated strategies may execute rapidly and repeatedly; erroneous configuration can magnify losses.
- By using the Software, you accept full responsibility for all profits and losses.
8) No Warranty; Availability
- The Software and services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind.
- We do not warrant uninterrupted or error-free operation, compatibility with all brokers, or fitness for a particular purpose.
- Maintenance, updates, third-party outages, or unforeseen incidents may affect availability.
9) Fees, Payments & Taxes
- Fees (subscription, one-time, usage-based) are as displayed at purchase or in your order form. Fees are typically non-refundable unless explicitly stated.
- Prices are exclusive of taxes. You are responsible for all applicable taxes, duties, and levies.
- We may change pricing upon prior notice as per applicable law.
10) User Responsibilities
- Secure your credentials, API keys, and devices. You are responsible for all activity under your account.
- Configure risk controls (quantity, max loss, time windows, kill-switches) and monitor your strategies, especially during volatile periods or major news events.
- Maintain sufficient funds/margins as required by your broker or exchange.
11) Prohibited Use
- No unlawful, manipulative, deceptive, abusive, or disruptive trading practices.
- No reverse engineering, unauthorized scraping of data, or circumvention of security measures or rate limits.
- No use that violates exchange/broker rules, sanctions, or applicable law.
12) Intellectual Property
The Software, documentation, interfaces, and content are owned by the Company and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Software in accordance with these Terms.
13) Privacy & Data
- We process personal data per our Privacy Policy. You consent to such processing, storage, and transfer as necessary to provide the services.
- You are responsible for any data you input and for obtaining any third-party consents required.
14) Support & Updates
- Support channels and service levels (if any) are as communicated by us. We may provide updates, bug fixes, or new features at our discretion.
- Updates may change or remove features. Continued use after updates constitutes acceptance of changes.
15) Indemnity
You agree to indemnify, defend, and hold harmless the Company, its directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including legal fees) arising out of or related to your use of the Software, breach of these Terms, violation of laws, or third-party rights.
16) Limitation of Liability
- To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, trading losses, opportunity costs, data loss, or business interruption.
- In no event shall the Company’s total aggregate liability exceed the fees paid by you to the Company for the Software in the preceding three (3) months before the event giving rise to liability.
17) Term & Termination
- You may stop using the Software at any time. We may suspend or terminate access for violations of these Terms, legal requirements, risk concerns, or non-payment.
- Upon termination, your license ends and you must cease use and uninstall the Software.
18) Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of laws principles. Subject to any mandatory arbitration clause below, the courts at [Your City], India shall have exclusive jurisdiction. You remain responsible for compliance with the laws of any jurisdiction from which you access or use the Software.
19) Dispute Resolution
- Good-Faith Negotiation: The parties shall attempt in good faith to resolve disputes within 30 days.
- Arbitration (Optional – Customize): Any unresolved dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, seated in [Your City], in English, by a sole arbitrator appointed mutually. The award shall be final and binding.
- Injunctive Relief: Nothing prevents a party from seeking urgent injunctive or equitable relief from competent courts.
20) Force Majeure
We shall not be liable for any delay or failure due to events beyond our reasonable control, including but not limited to act of God, natural disasters, war, terrorism, labor disputes, government actions, outages of internet or telecommunications, or third-party service failures.
21) Changes to Terms
We may modify these Terms from time to time. Material changes will be notified by posting on our website/app or via email. Continued use after the effective date constitutes acceptance of the revised Terms.

Annexure A – High-Risk Disclosure for Algorithmic/Automated Trading
- Algorithmic trading carries unique technology and execution risks, including but not limited to connectivity failures, exchange outages, broker API throttling, erroneous parameters, and software bugs.
- Rapid order generation may lead to increased transaction costs, slippage, partial fills, rejections, and potential margin shortfalls.
- Backtests rely on historical data and assumptions; actual results can differ materially.
- Stop-losses and risk limits may not always trigger at expected prices, particularly in fast markets or gaps.
- You should monitor positions and systems, maintain redundancies (e.g., manual override/kill switch), and understand your broker’s RMS and liquidation policies.
By proceeding, you acknowledge and agree that (i) you have read and understood these Terms and the High-Risk Disclosure; (ii) you are solely responsible for all trading decisions and outcomes; and (iii) the Company and its affiliates are not responsible for any direct or indirect losses, including trading losses, arising from your use of the Software.
